Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you and Archevo ("we", "us", or "our"). By accessing or using the Archevo platform, websites, and related services (collectively, the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree, you must not access or use the Service.

2. Accounts & Eligibility

To access most features you must register for an account. You must be at least 18 years old and have the legal capacity to enter into a contract. When you create an account you agree to:

• Provide accurate, current, and complete information.
• Keep your login credentials confidential.
• Promptly notify us of any unauthorized access to your account.
• Accept responsibility for all activities under your account.

Workspace owners are responsible for the actions of team members and integrations they authorize.

3. Fees & Billing

Archevo does not charge subscription fees. Archevo earns a commission on orders you process through the platform.

• Transaction fee. Archevo earns a commission of 5% on every order you process on the platform. This rate is current and may change over time; we will notify you at least 30 days before any change takes effect.
• Payment gateway fees. Fees charged by third-party payment processors (such as Paystack or Flutterwave) apply separately and are not controlled by Archevo.
• Taxes. All fees are exclusive of applicable taxes (including VAT, where applicable under Nigerian tax law), which you are responsible for paying.

4. Acceptable Use

You agree not to, and not to authorize any third party to:

• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Use the Service to violate any applicable law, regulation, or third-party right.
• Upload malicious code, spam, or content that infringes intellectual property or privacy rights.
• Interfere with, disrupt, or place unreasonable load on the Service or its infrastructure.
• Use the Service to compete with us or to build a substantially similar product.
• Attempt to gain unauthorized access to other accounts, systems, or networks connected to the Service.

5. Your Content & Data

You retain all rights to the data, text, images, products, customer records, and other materials you upload to the Service ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to use, host, copy, transmit, and display Your Content solely to operate the Service for you.

We will not access, use, or disclose Your Content except:

• As you direct through the Service's features.
• As required to provide support at your request.
• As required by law or valid legal process.

You are responsible for maintaining backups of Your Content. We perform regular backups but do not guarantee data recovery. See our Privacy Policy for how we collect, use, and protect personal data within Your Content, including data belonging to your customers.

6. Intellectual Property

The Service, including its software, designs, trademarks, logos, and documentation, is owned by Archevo and is protected by intellectual property laws. These Terms do not transfer any ownership in the Service to you. You may not use our trademarks without prior written permission.

7. Third-Party Services

The Service integrates with third-party providers such as payment gateways (Paystack, Flutterwave), email services, and analytics tools. Your use of those services is subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or content of any third-party service.

8. Suspension & Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe that:

• You have breached these Terms.
• Your use poses a security, legal, or operational risk.
• Continued provision would violate applicable law.

You may terminate your account at any time from your account settings. Upon termination, we will retain or delete Your Content in accordance with our data retention policy described in our Privacy Policy, and you may request an export of Your Content before deletion.

9. Disclaimers & Liability

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, Archevo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. Our aggregate liability for all claims relating to the Service shall not exceed the total amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold Archevo, its affiliates, officers, and employees harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms or your use of the Service.

11. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Nigeria, unless otherwise required by mandatory local law in your jurisdiction.

12. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will provide at least 30 days' notice by email or in-product notification. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
